Henley-based, HMT LLP has played a central role in the sale of a majority equity stake in 3PL and fulfilment specialists, Synergy Retail Support, to a private investment company based in London.

Led by Partner Andrew Thomson, Director Ricky Lane and Manager Motti Kalikshtein, HMT acted as lead advisors to Synergy’s shareholders on the transaction.

This meant considering strategic options for both shareholders and management, identifying suitable investors, negotiating detailed exit and investment terms, supporting the company through the due diligence process and project managing the transaction to completion.

Andrew Thomson, Managing Partner at HMT said: “We are delighted to have advised Gary and Nick on the sale of a majority stake in the business. Over 13 years, Synergy has become highly respected, industry-leading, multi-channel 3PL experts who share a real passion for their customer.

“With new strategic partners on board the business can continue to harness their market leading position in the growing eCommerce fulfilment and reverse logistics sector.”

Northampton-based Synergy was established more than 13 years ago. Its shareholders, Gary Rees and Nick Demetriou, lead the fulfilment and B2B specialists’ team of more than 600 employees. It processes and distributes daily orders and returns in the tens of thousands.

Synergy also provides a number of 3PL and fulfilment services such as returns management, luxury brand services, co-packing, VAS and mould treatment.

The company’s extensive client base includes everything from eCommerce brands to high street retailers. It has a strong presence in the fashion, health & beauty, food & beverage, gift & toys, and household FMCG sectors.

Following the sale Nick Demetriou will exit the business, while CEO and Founder Gary Rees has realised a significant amount of the value he has created while retaining a minority equity stake. He will continue to head the business as it expands it presence within the UK, along with the US, EU and LATAM soon.

The investment will also enable the business to increase its development in technology and automation by providing additional capital.

Gary Rees, Founder and CEO of Synergy said: “Nick and I are delighted to have appointed HMT as lead advisors on this transaction. Andrew, Ricky and Motti were very hands-on and professional from the preparation phase all the way through to completion. Their experience, pragmatism and tenacity were vital in closing the deal.”
