IBB Law advises shareholders of Intrasonics on sale of issued share capital

Law firm IBB has advised the shareholders of Intrasonics on their sale of the entire issued share capital of the company, to Ipsos. The IBB team consisted of Adam Dowdney, Partner, and Ami Bhatt, Senior Associate in the Corporate Commercial Team and Richard Devall, a Partner in the Employment Team.

Global provider of audio recognition technology, Intrasonics pioneered in the field of echomodulation audio watermarking. The Company provides the tools (Development Kits and Software/Hardware Encoders) required for audio recognition and content response triggers and this technology is protected by over 20 patents. IBB’s cross practice team advised on this multi-jurisdictional transaction involving complex earn out and intellectual property rights issues.

IBB's Partner, Dowdney said of the multi-jurisdictional transaction: "We worked closely with the clients to ensure the deal aligned with their exit strategy and there were some interesting negotiations, but we worked hard to achieve our client’s goals whilst ensuring business continuity for Ipsos and the target in the future."
