IBB advises PortAll and Nanstrad on Compliancy Services merger
IBB Law, a law firm with offices across the Thames Valley, West London and the western Home Counties, has advised the shareholders PortAll Limited (trading under Portman Compliance) and Nanstrad Limited on the buyout of their shares by Compliancy Services Limited.
The shareholders were advised by an IBB team consisting of Adam Dowdney, Partner, Ami Bhatt, Senior Associate, Nerys Dadey, Trainee Solicitor in the Corporate & Commercial Team and Richard Devall, Partner in the Employment Team.
One of the shareholders will roll over into Compliancy Services, heading up a new division at the company. The remaining shareholders achieved an exit from their business.
The merger offers Compliancy Services future growth opportunities from economies of scale and consolidation of expertise.

Adam Dowdney said of the transaction: “This was a really interesting transaction in an interesting sector. As always, the deal was not without its complexities but the strength and breadth of the IBB team ensured a smooth transaction process and completion. We wish all the parties every success in the future”.
Nancy King, senior managing director, Compliancy Services said: "Adam, Ami and the team helped us through one of the most daunting processes we’ve ever faced as owners of a relatively young business – selling it.
“They were patient, clear in their explanations of complex legal clauses and documents, which were completely alien to us, and were always on hand when we needed them at short notice.
“In addition, we found Adam to be a calming presence with a cool head when we were all under pressure. The team delivered everything that we as needed and will, no doubt, continue to do so when we need to call on them again in future!"
