Deal Description: Adam Dowdney (partner) and Ami Bhatt (senior associate) acted for the shareholders of the Target in selling 52% shares in the Target and rollover of the remaining shares. We also advised on the post-completion joint venture relationship and put and call option and other leaver mechanics to allow the shareholders’ exit in 3 to 5 years of completion and maximise their protection and return. Richard Devall advised on the employment matters, inter alia, in view of the option and leaver mechanics.
