Introducing transaction services at Quantuma

Quantuma has announced the arrival of Jonathan Thornton as a partner to head up its new transaction services offering.

Having spent over 25 years at a big four accountancy firm primarily in transaction services, Thornton comes with a wealth of experience that is extensive in terms of size, industry sector, deal type and geography.

He has worked on numerous high-profile transactions over the years, with his main industry expertise lying within the consumer, retail, hospitality and leisure sectors. Examples of notable transactions he has worked on include the IPOs of O2 and another FTSE 100 company, ENRC. In his new role at Quantuma, Thornton is primarily based in the London office and spearheads the transaction services team, which bolsters the already well-established corporate finance practice. The new offering is aimed primarily at private equity houses and corporates within the UK lower-mid and mid-market, encompassing services such as: financial due diligence; vendor due diligence; valuations; as well as sale and purchase agreement reviews.

The team of specialists at Quantuma plays a pivotal role in transactions by carrying out due diligence to investigate whether the fundamental financials of a business are in line with how they’re being presented.

The team works with clients to thoroughly analyse a company’s financials, business performance, working capital requirements, operational issues and other relevant areas to help the client better understand the business in question.

Given the uncertain economic outlook, it believes that conducting thorough due diligence is more important than ever. Key things to look out for would include deteriorating sales, slowing debtor collection, stretching of creditor payments, changes in order book or pipeline and the achievability of budgets, forecasts or projections. 

Thornton said: “Investors should also carefully consider different future scenarios by changing the assumptions and looking at the impact on cashflows, value and headroom over debt facilities and covenants.”
